Welcome to Huevion Designs. Please read the following Terms and Conditions ("Terms") carefully before using our website, enrolling in our programs, or participating in our events. These Terms govern your access to and use of all services provided by Huevion Designs LLP, including our website https://www.hueviondesigns.com, designing services, subscription plan and consultation ("Services"). By using our Services, you agree to be legally bound by these Terms. If you do not accept these Terms, you should not use our Services.
1. Introduction and Acceptance
These Terms and Conditions govern access to and use of the Huevion Designs website, services, communications, and deliverables. By accessing this website, submitting an enquiry, booking a discovery call, signing a proposal, making payment, or engaging Huevion Designs in any capacity, acceptance of these Terms and Conditions is confirmed.
Huevion Designs provides creative, strategic, and digital services including branding, marketing, design, UX/UI, illustration, motion, workshops, and consulting.
2. Scope of Services
Services provided by Huevion Designs are defined in written documentation including proposals, statements of work, project briefs, email confirmations, or invoices.
Each engagement is limited to the scope outlined in the agreed documentation. Requests for additional work, revisions beyond the agreed scope, accelerated timelines, or new deliverables may require additional fees and revised timelines.
Huevion Designs is not obligated to perform work outside the agreed scope without written approval.
3. Proposals, Quotes, and Engagement Confirmation
All proposals and quotations issued by Huevion Designs are valid for the period stated or, if no period is stated, for fourteen days from the date of issue.
An engagement is considered confirmed when one or more of the following occurs:

Written acceptance of a proposal

Payment of an invoice or deposit

Commencement of work at the client’s request
4. Fees, Payments, and Billing
Fees are outlined in the agreed proposal or invoice and may include upfront payments, milestone payments, monthly retainers, or usage-based fees.
Invoices must be paid within the timeframe specified. Late payments may result in paused work, delayed delivery, suspension of services, or withholding of deliverables until payment is received.
Huevion Designs reserves the right to recover reasonable administrative or collection costs associated with overdue payments.
5. Revisions and Approvals
Unless otherwise stated, proposals include a defined number of revision rounds. Revisions are intended to refine agreed concepts, not introduce new directions or scope changes.
Approval at any stage indicates acceptance of work delivered up to that point. Delays in feedback or approvals may affect timelines and delivery schedules.
6. Intellectual Property and Ownership
Upon full payment, ownership of final approved deliverables is transferred to the client unless otherwise agreed in writing.
Huevion Designs retains ownership of drafts, working files, concepts, unused designs, source files, and exploratory materials unless explicitly transferred.
Clients may not reuse, resell, modify, or distribute non-final materials without written permission.
Huevion Designs retains the right to display completed work for portfolios, presentations, marketing, awards, and case studies unless confidentiality or non-disclosure agreements state otherwise.
7. Third-Party Materials and Licences
Projects may involve third-party assets such as fonts, software, stock imagery, plugins, or tools. Any required licences are the responsibility of the client unless otherwise agreed.
Huevion Designs is not responsible for ongoing costs, renewals, or licence compliance related to third-party tools.
8. Client Responsibilities
Clients agree to provide accurate information, timely feedback, approvals, and materials required to complete the project.
Clients confirm they have the legal right to use any content supplied and that such content does not infringe intellectual property, privacy, or other legal rights.
Delays caused by the client may result in revised timelines or additional fees.
9. Confidentiality
Both parties agree to maintain confidentiality of proprietary or sensitive information shared during the engagement.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Warranties and Disclaimers
Huevion Designs provides services using reasonable skill and care. However, no guarantees are made regarding specific commercial outcomes, performance metrics, or financial results.
All services are provided on an “as is” basis to the extent permitted by law.
11. Limitation of Liability
Huevion Designs is not liable for indirect, incidental, or consequential losses including loss of profit, revenue, data, reputation, or business opportunity.
Total liability is limited to the fees paid by the client for the services giving rise to the claim.
12. Indemnity
Clients agree to indemnify Huevion Designs against claims, losses, or damages arising from materials provided by the client or misuse of deliverables.
13. Termination
Either party may terminate an engagement by providing written notice. Fees for work completed up to the termination date remain payable.
Prepaid amounts for completed work are non-refundable.
14. Force Majeure
Huevion Designs is not liable for delays or failure to perform due to events beyond reasonable control including natural disasters, technical failures, or government actions.
15. Governing Law
These Terms and Conditions are governed by the laws applicable in the jurisdiction where Huevion Designs operates.
16. Updates
Huevion Designs may update these Terms and Conditions at any time. Continued use of services constitutes acceptance of updated terms.
